Pursuant to the terms of its articles of association, the company’s day-to-day affairs are the responsibility of an Executive Committee.
Executive committee members shall be chosen by the board of directors from among its members.
Executive Committee resolutions must be taken by majority vote in which all members have the same voting rights with the chairman having the casting vote in the event of a tie.
The board of directors may authorise the executive committee to charge one or more of its members to deal with certain tasks and delegate the performance of several of the powers which have been delegated to it to one or more of its members.
